These Service Terms & Conditions ("Service Terms") govern all freight brokerage and related logistics services provided by Logistics Fox, Inc. ("Logistics Fox," "we," "us"). By tendering a shipment to us, requesting that we arrange transportation, or accepting our quotation, the customer ("Customer") agrees to these Service Terms. A signed brokerage-customer agreement between Logistics Fox and Customer controls over these Service Terms to the extent of any conflict.
Logistics Fox is a property broker licensed by the Federal Motor Carrier Safety Administration (MC-897839). We arrange for the transportation of freight by third-party motor carriers, railroads, and other providers ("Carriers"); we do not take possession of, or transport, freight ourselves. The Carrier in possession of a shipment is responsible for its transportation and for cargo loss or damage as provided by law and the Carrier's tariff. Logistics Fox shall not be identified as the carrier on any bill of lading, and any such identification is ineffective.

Quotations are based on the shipment information Customer provides. If the actual freight differs from the declared specifications — in weight, dimensions, class, piece count, or services required — the shipment will be rerated based on actual characteristics per the applicable Carrier tariff, and Customer is responsible for the resulting charges. Fuel surcharges float with the applicable Carrier's fuel schedule. Quotations are not a guarantee of capacity or transit and expire as stated on the quote.
Customer should use the bill of lading generated by Logistics Fox (including through FoxTMS) for each shipment. The bill of lading is a receipt and a contract of carriage between Customer and the Carrier; carriage is governed by the Carrier's tariff and applicable law. If Customer or a third party substitutes another bill of lading, the shipment remains subject to these Service Terms and to rerating under Section 3, and negotiated pricing may not apply. Declared-value entries on a bill of lading are ineffective unless excess-value coverage is arranged in advance under Section 7.
Transit times are estimates only and are not guaranteed, except where Customer purchases a guaranteed service expressly confirmed on the quote. Guaranteed services are subject to the applicable Carrier's tariff terms, including exceptions for weather, acts of God, governmental action, and other causes beyond the Carrier's control, and to the Carrier's remedy provisions (typically a refund or reduction of charges for the affected shipment). Logistics Fox is not liable for consequential losses arising from delay.
Claims for cargo loss or damage are claims against the responsible Carrier under federal law (49 U.S.C. § 14706 and 49 C.F.R. Part 370) and the Carrier's tariff. Logistics Fox will assist Customer in preparing, filing, and pursuing cargo claims as Customer's agent — this assistance is a service, and does not make Logistics Fox liable as a carrier or an insurer of the freight. Customer should note visible loss or damage on the delivery receipt at delivery, report concealed damage promptly (within five business days is strongly recommended), and file claims within nine months of delivery or the scheduled delivery date. Carrier liability is limited by the applicable tariff, including reduced limits for used goods; supplemental all-risk coverage is available through Logistics Fox on request, and must be arranged before pickup.
Logistics Fox maintains contingent cargo and liability coverage for its own account; this coverage is not cargo insurance for Customer's benefit. Where Customer requests supplemental shipper's-interest coverage, the terms of the issuing insurer's policy or certificate govern that coverage.
Customer is responsible for all transportation and accessorial charges on shipments tendered, including rerated charges under Section 3, regardless of any arrangement Customer has with third parties to bear freight costs. Invoices are due within the credit terms extended to Customer. Customer must raise good-faith invoice disputes promptly; undisputed portions remain payable when due. Customer may not offset pending cargo claims against freight charges. Logistics Fox may withdraw or modify credit terms with notice.
Logistics Fox's liability arising out of or related to its brokerage services for any shipment shall not exceed the brokerage fees retained by Logistics Fox for that shipment. In no event will Logistics Fox be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption, even if advised of the possibility. Nothing in this section limits the responsible Carrier's liability under applicable law, or any liability that cannot lawfully be limited.
Customer will defend, indemnify, and hold harmless Logistics Fox from claims, fines, penalties, and costs (including reasonable attorneys' fees) to the extent arising from Customer's inaccurate shipment information, inadequate packaging, undeclared hazardous materials, violation of law, or breach of these Service Terms.
Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including natural disasters, war, labor disruptions, governmental action, or infrastructure failures. Customer remains responsible for charges on services actually performed.
These Service Terms are governed by the laws of the State of California and applicable federal transportation law, without regard to conflict-of-law rules. Exclusive venue for disputes relating to these Service Terms lies in the state or federal courts located in Orange County, California.
Logistics Fox may update these Service Terms prospectively by posting the revised version at this page; the version in effect on the date a shipment is tendered governs that shipment. If any provision is held unenforceable, the remainder continues in effect. These Service Terms, together with any signed brokerage-customer agreement, applicable quotations, bills of lading, and Carrier tariffs, constitute the agreement between the parties regarding the services.
